Public offer
Individual entrepreneur Rymar Oleksandr Volodymyrovych, entry number in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Associations 2010350000000150280 from May 18, 2022, which sells goods through the portal www.yuvalstudios.com, hereinafter referred to as the “Seller”, on the basis of Articles 633, 634 of the Civil Code of Ukraine, it offers to any natural person who has the legal capacity and all the necessary rights and powers to conclude and execute this Public Agreement, hereinafter referred to as the "Buyer", on together - the "Parties" have concluded this Public contract of purchase and sale (hereinafter - the "Public Contract") as follows:
1. TERMS USED IN THE AGREEMENT
1.1. Public offer (hereinafter referred to as the “Offer”) is the Seller’s public offer addressed to an indefinite number of persons endowed with the legal capacity and all necessary rights and authorities to conclude and execute this Public Contract for the sale of goods remotely on the terms contained in this Offer.
1.2. Order for the purchase of goods on the website of the online store - the positions indicated by the buyer from the assortment of goods offered for sale when filling out an application for the purchase of goods on the website of the online store or through the Operator.
1.3. Acceptance - the provision by the Buyer of the full and unconditional consent of the Seller to the offer to conclude a Public Agreement on the conditions provided for in this Public Agreement.
1.4. Product - jewelry made of precious metals and precious/semiprecious stones, related products in quantity, assortment, and price, presented in the online store on the site https://yuvalstudios.com.
1.5. Online store - an official online store located at the Internet address: https://yuvalstudios.com.
2. SUBJECT OF THE AGREEMENT
2.1. Under the terms of this Public Agreement, the Seller undertakes to transfer to the Buyer the Goods presented for sale in the online store, and the Buyer undertakes to accept the goods and pay for them in the manner and on the terms provided for by this Public Agreement.
2.2. The name of the Goods, its main characteristics, the alloy of metal and its sample, the mass and size of the Goods, the name, characteristics, and mass of stones that are part of the Goods, and the place of manufacture are indicated in the description of each respective Goods presented in the online store.
3. ACCEPTANCE OF THE CONTRACT
3.1. Confirmation of the acceptance of this Offer is the Buyer's order for the purchase of goods posted on the website of the online store.
3.2. From the moment the Seller receives the Order for the purchase of the Goods, the Public Contract is considered concluded without its subsequent signing by the Parties.
4. ORDERING FOR PURCHASE OF GOODS
4.1. An order for the purchase of goods is carried out by the buyer by phone specified on the website of the online store or through the service of the website of the online store https://yuvalstudios.com/.
4.2. An order for the purchase of the Goods contains the name of the Goods, information about the metal alloy and its sample, the weight and size of the selected Goods, and the name, characteristics, and weight of stones that are part of the Goods, the prices of the Goods, forms of payment and methods of delivery of the Goods, information about the Buyer (last name, name, middle name, mobile phone number, email address). To place an order for the purchase of goods, you must specify all the requested information.
4.3. When placing an Order for the purchase of goods through the website of the online store, the Buyer agrees to provide the following registration information:
4.3.1. surname, name, patronymic of the Buyer or the person (recipient) indicated by him;
4.3.2. e-mail address;
4.3.3. contact number.
4.4. If the seller needs additional information, he has the right to request it from the Buyer. In case of failure to provide the necessary information by the Buyer, the Seller is not responsible for the goods chosen by the Buyer, and the Seller has the right not to send the goods to the buyer until the requested additional information is received.
4.5. When placing an Order through the Operator (clause 4.1. Of this Offer), the Buyer agrees to provide the information specified in clause 4.3. of the present Offer.
4.6. Acceptance by the Buyer of the terms of this Offer is carried out by the Buyer entering the relevant data into the Order form for the purchase of goods on the website of the online store or when placing an Order through the Operator. After placing the Order through the Operator, data about the Buyer is recorded in the seller’s database. Having approved the Order of the selected Goods, the Buyer provides the Operator with the necessary information in accordance with the procedure specified in clause 4.3. of the present Offer.
4.7. The seller is not responsible for the content and accuracy provided by the Buyer when placing an Order for the purchase of goods.
4.8. The buyer is responsible for the accuracy of the information provided when placing an order for the purchase of goods.
4.9. The Seller shall contact the Buyer by e-mail or phone specified by the Buyer within one business day from the moment of placing the Order for the purchase of the Goods to confirm the Order.
5. PRICE AND ORDER OF PAYMENT FOR GOODS
5.1. For each item of the Goods is indicated on the website of the online store at the time of ordering the Goods and requires confirmation by the Seller after receiving from the Buyer an order to purchase goods.
5.2. The seller can unilaterally change the price for any item in the product.
5.3. In the event of a change in the price of goods ordered, the Seller undertakes to inform the Buyer of a change in the price of the goods within two business days.
5.4. The Buyer has the right to confirm or cancel the purchase order for the Goods if the Seller changes the price after placing the Order.
5.5. The Seller indicates the cost of delivery of the Goods on the website of the online store or informs the Buyer when placing the Order for the purchase of the Goods by the Operator.
5.6. The Buyer's obligations to pay for the Goods are deemed fulfilled from the moment of receipt and crediting of funds to the Seller.
5.7. Payments between the Seller and the Buyer for the Goods are carried out by the methods indicated on the website of the online store through the Internet address: https://yuvalstudios.com/pages/policies.
6. DELIVERY AND DELIVERY OF GOODS TO THE BUYER
6.1. The Seller provides or arranges for the Buyer the services for the delivery of the Goods in one of the ways indicated on the online store website through the Internet address: https://yuvalstudios.com/pages/policies.
6.2. The Buyer shall indicate to the Seller the place of delivery of the Goods when confirming the Order for the purchase of goods.
6.3. Delivery of the goods is carried out throughout Ukraine with the exception of the temporarily occupied territory and the territory of the anti-terrorist operation, russian federation and the republic of belarus.
6.4. The delivery time of the Goods to the Buyer consists of the processing time of the order and the delivery time and is:
6.4.1. for all in-stock items we are sending your order within 2 - 3 days;
6.4.2. in case you place a Pre-Order, we need 7-10 business days after payment confirmation for manufacturing jewelry;
6.4.3. in another period agreed by the Buyer and Seller.
6.5. The ownership of the goods passes to the Buyer from the moment the goods are transferred to the Buyer by any of the methods provided and the Buyer pays for the cost of the goods.
6.6. The buyer agrees to check the purchased jewelry for quality and completeness at the time of receipt and to declare their complaints at the time of receipt of the goods. Otherwise, the online store "Yuvalstudios" has the right not to consider claims for the quality and completeness of the goods sold, except in cases expressly provided for by the current legislation of Ukraine.
7. QUALITY OF GOODS. OUR PRODUCT WARRANTY
7.1. The quality of the Goods offered by the Seller through the online store, meets the requirements and standards provided by the current legislation of Ukraine for this category.
7.2. The seller provides a guarantee for the goods under the period specified by the manufacturer of the goods.
7.3. The rights of the Buyer in case of detection of defects in the purchased Goods are provided for by the current legislation of Ukraine.
7.4. Delivery to the Seller of the Goods in which the Buyer has discovered flaws is carried out at the Buyer's expense.
8. RESPONSIBILITY OF THE PARTIES
8.1. For non-performance or improper performance of the obligations of this Agreement, the Parties are liable under the current legislation of Ukraine.
8.2. The Seller does not guarantee the uninterrupted and error-free operation of the Site and is not responsible for:
- delay, interruption, loss due to a malfunction of any electronic or mechanical equipment not owned by the Seller;
- problems with data transfer or connection that arose not through the fault of the Seller;
- the quality of public communication channels through which access to the Site is provided;
- blocking access to the Site as a result of actions of third parties. However, the Seller undertakes to make every reasonable effort to prevent this and will take all possible measures to eliminate the problems.
8.3. Complaints or claims of Users / Buyers must be made in writing. The Seller will take all necessary measures to satisfy the complaints/claims of Users / Buyers, provided that they are justified and properly executed in accordance with the current legislation of Ukraine.
8.4. All disputes, disagreements, and claims arising from or in connection with this Agreement, including those related to its implementation, violation, termination, or invalidity, shall be resolved in the relevant court in accordance with the applicable law of Ukraine.
9. DURATION OF THE PUBLIC CONTRACT.
9.1. The Public Agreement enters into force from the moment of its acceptance by the Buyer and is valid until the Parties fulfill their obligations stipulated by this Public Agreement.
9.2. A public contract may be prematurely terminated by mutual agreement of the Parties.
9.3. The Public Agreement may be terminated by the Seller in case the Buyer violates its obligations under this Public Agreement or the terms and conditions set forth in the Agreement, available for review at the Internet address: https://yuvalstudios.com/policies/legal-notice.
10. OTHER CONDITIONS
10.1. Disputes of the Parties arising in connection with the fulfillment of obligations under this Agreement shall be resolved through negotiations. If it is impossible to resolve disputes through negotiations, such disputes are subject to judicial settlement in accordance with the current legislation of Ukraine.
10.2. The seller has the right to amend the Offer without notifying the Buyer. They come into force from the moment the seller makes a change by posting them on this site.
10.3. The Buyer, being on the seller’s website, gives permission to the Seller to process his personal data in accordance with the Law of Ukraine “On the Protection of Personal Data”. The buyer confirms that he is familiar with the rights that are enshrined in the Law of Ukraine "On the Protection of Personal Data".
10.4. A public contract is concluded by joining the Buyer to the contract proposed by the Seller and by accepting all the essential terms of the contract without signing a written copy and has legal force in accordance with the provisions of Art. 633, 634 of the Civil Code of Ukraine. The buyer can not offer the terms of the Public contract.
10.5. The unconditional and full acceptance of the terms of the Public Contract by the Buyer consists in the Buyer taking actions aimed at purchasing the Goods provided for by the Public Contract, regardless of other conditions.
10.6. The buyer, indicating his personal data, allows the seller and his partners to send information, including advertising, by e-mail or SMS.
10.7. The Buyer allows the seller to record and store telephone calls, correspondence, and messages, including electronic ones, related to the fulfillment of the Buyer's Order for the purchase of the Goods and obligations under this Agreement.
10.8. Claims from Buyers are accepted by the Seller at the email address: info@yuvalstudios.com
